Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RawRecruit website and progressive web application (collectively, the "Service"), operated by RawRecruit ("we," "us," or "our"). Please read these Terms carefully before using the Service.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Account Registration and Security

To access most features, you must create an account using Google OAuth or email/password registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties.

3. Description of the Service

RawRecruit is an AI-powered college recruiting platform that helps high school athletes in football, men's basketball, women's basketball, men's track & field, and women's track & field discover, evaluate, and connect with college athletic programs. The Service provides:

4. Subscriptions, Payments, and Refund Policy

4.1 Free and Paid Plans

RawRecruit offers a free tier (Prospect) and multiple paid subscription tiers. The features available on each tier are described on our Pricing page. We reserve the right to modify pricing, features, and tier structures at any time with 30 days' notice to active subscribers.

4.2 Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, based on your selection) through Stripe. By subscribing, you authorize us to charge your payment method at the beginning of each billing cycle. All prices are listed in U.S. dollars and are exclusive of any applicable taxes, which will be added at checkout if required by law.

4.3 Upgrades and Downgrades

You may upgrade your subscription at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the current billing cycle. You may downgrade your subscription at any time. Downgrades take effect at the end of your current billing period, and you will retain access to your current tier's features until then.

4.4 No Refunds

All sales are final. We do not offer refunds for any subscription payments, including partial-month charges, annual payments, or unused portions of a subscription period. By subscribing, you acknowledge and agree to this no-refund policy. If you cancel your subscription, you will retain access to paid features until the end of your current billing period, after which your account will revert to the free Prospect tier.

4.5 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation stops future billing but does not provide a refund for the current period. After your current billing period ends, your account will revert to the free Prospect tier. Your profile data and account will be preserved.

4.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again per Stripe's retry schedule. If payment cannot be collected after multiple attempts, your subscription may be suspended or downgraded to the Prospect tier.

You agree not to use the Service to:

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including removing content, suspending or terminating accounts, and reporting to law enforcement.

5.2 Prohibited Data Extraction and Misuse

WITHOUT LIMITING THE GENERAL PROHIBITIONS ABOVE, THE FOLLOWING ACTIVITIES ARE STRICTLY PROHIBITED AND WILL BE PURSUED TO THE FULLEST EXTENT OF THE LAW:

  • Automated Data Extraction: Using bots, scrapers, spiders, crawlers, or any automated tool, script, or software to access, index, harvest, mine, or extract data from the Service, including but not limited to school data, coaching staff information, Fit Score algorithms, roster data, recruiting patterns, and user-generated content.
  • Database Attacks: Attempting to access, probe, scan, or test the vulnerability of the Service's database, servers, or infrastructure, or attempting to breach any security or authentication measures, whether or not such attempt is successful.
  • Commercial Exploitation: Using any data obtained from the Service, whether through authorized use, unauthorized scraping, API abuse, or any other method, for the purpose of building, training, supplementing, or operating a competing product or service, or for resale, redistribution, sublicensing, or any other commercial purpose without our prior written consent.
  • Algorithm Reverse-Engineering: Attempting to reverse-engineer, reconstruct, derive, or replicate the Fit Score algorithm, data models, matching methodology, or any other proprietary computational process used by the Service, whether through analysis of outputs, systematic querying, or any other means.
  • Bulk Collection: Systematically downloading, copying, or collecting data from the Service in quantities or at rates that exceed what a single user would reasonably access through normal use of the Service, regardless of whether automated tools are used.

ACKNOWLEDGMENT OF HARM: You acknowledge that any violation of this Section 5.2 would cause irreparable harm to RawRecruit that cannot be adequately compensated by monetary damages alone, and that the actual damages resulting from such violations would be difficult or impossible to calculate. Accordingly, you agree that:

  • RawRecruit shall be entitled to seek immediate injunctive relief, including temporary restraining orders, preliminary injunctions, and permanent injunctions, without the requirement of posting a bond or proving actual damages.
  • Liquidated Damages: In addition to any other remedies available at law or in equity, you agree to pay liquidated damages of $500 per page accessed or data record extracted in violation of this section, or $50,000 per incident of unauthorized data extraction (whichever is greater), plus all costs of investigation, enforcement, and reasonable attorneys' fees. These amounts represent a reasonable estimate of the minimum harm caused by such violations and are not intended as a penalty.
  • The limitation of liability in Section 8 does NOT apply to your liability for violations of this Section 5.2. Your liability for data misuse is uncapped.
  • RawRecruit reserves the right to pursue all available legal remedies, including claims under the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Digital Millennium Copyright Act (17 U.S.C. § 1201), applicable state computer crime statutes, trade secret misappropriation laws, unfair competition laws, and any other applicable federal or state law.

6. Data Accuracy and Disclaimer

The information provided through the Service, including school data, coaching staff information, roster data, Fit Scores, recruiting patterns, and AI Advisor responses, is for informational purposes only and should not be relied upon as the sole basis for any recruiting decision.

School and coach data is collected from publicly available sources and may not be current, complete, or accurate. Coaching staff, contact information, and program details can change at any time. Fit Scores are computed algorithmically based on available data and athlete-provided information; they are not guarantees of admission, scholarship offers, or recruiting interest. The AI Recruiting Advisor provides suggestions based on data patterns and should not be considered professional recruiting advice.

You are solely responsible for verifying information before acting on it, including confirming coach contact details directly with the school before reaching out.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, code, Fit Score algorithm, data models, text, graphics, logos, icons, images, and software, is owned by RawRecruit and is protected by United States and international copyright, trademark, and other intellectual property laws. The RawRecruit name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RawRecruit. You may not use these marks without our prior written permission.

7.2 Your Content

You retain ownership of the content you upload to the Service (profile information, photos, bio text). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of providing and promoting the Service. This license ends when you delete your content or your account, except for content that has been shared with others (e.g., a public profile) and copies made by others before deletion.

7.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Service, you agree that we may use that feedback for any purpose without compensation or obligation to you.

7.4 Proprietary Data and Trade Secrets

The following are proprietary to RawRecruit and constitute trade secrets and/or confidential business information protected under applicable federal and state law, including the Defend Trade Secrets Act (18 U.S.C. § 1836) and the New Jersey Trade Secrets Act (N.J.S.A. 56:15-1 et seq.):

By using the Service, you acknowledge that these elements derive independent economic value from not being generally known and that RawRecruit has taken reasonable measures to keep them secret. Any unauthorized access to, disclosure of, or use of these trade secrets may result in criminal prosecution under the Defend Trade Secrets Act and civil liability for misappropriation.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAWRECRUIT, ITS OWNER, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Failure to receive a scholarship, admission, or recruiting contact from any college or university
  • Inaccurate or outdated school, coach, or program information displayed on the Service
  • Decisions made based on Fit Scores, AI Advisor responses, or any data provided through the Service
  • Unauthorized access to or alteration of your account or data
  • Any other matter relating to the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

CARVE-OUT FOR DATA MISUSE AND INTELLECTUAL PROPERTY VIOLATIONS: The limitations of liability in this Section 8 apply only to RawRecruit's liability to you. They do NOT limit or cap your liability to RawRecruit for: (a) violations of Section 5.2 (Prohibited Data Extraction and Misuse); (b) infringement or misappropriation of RawRecruit's intellectual property or trade secrets (Sections 7.1 and 7.4); (c) violations of the indemnification obligations in Section 10; or (d) fraud, willful misconduct, or criminal activity directed at RawRecruit or its systems. For any such violations, your liability is uncapped and RawRecruit may pursue all available remedies at law and in equity, including the liquidated damages specified in Section 5.2 and actual, consequential, and punitive damages to the fullest extent permitted by law.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any information provided through the Service, including school data, coach contact information, Fit Scores, or AI-generated content. We do not guarantee any specific recruiting outcomes.

10. Indemnification

You agree to defend, indemnify, and hold harmless RawRecruit, its owner, officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or NCAA/NAIA/NJCAA compliance obligation; or (d) any content you upload or submit through the Service.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution First

Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

11.2 Binding Arbitration

If we cannot resolve a dispute informally, you and RawRecruit agree to resolve any claims relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in the State of New Jersey or, at your election, may be conducted remotely via video conference or telephone. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND RAWRECRUIT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

11.4 Exceptions: Injunctive Relief and IP/Data Protection

Notwithstanding the arbitration agreement above, RawRecruit may seek injunctive or other equitable relief in any court of competent jurisdiction, without the requirement of posting a bond or other security, to prevent or restrain:

This right to seek injunctive relief is in addition to, and not in lieu of, any other remedies available at law or in equity, including the right to pursue liquidated damages under Section 5.2 and actual damages in arbitration or court. Claims eligible for small claims court may also be brought there by either party.

12. NCAA, NAIA, and NJCAA Compliance

RawRecruit is a tool for athletes and families to research college programs. The Service does not facilitate direct recruiting communications between coaches and athletes. We are not affiliated with, endorsed by, or partnered with the NCAA, NAIA, NJCAA, or any college or university. You are solely responsible for understanding and complying with all applicable recruiting rules and regulations of your sport's governing body. We strongly encourage you to consult your high school guidance counselor or an NCAA compliance officer before initiating contact with any college coaching staff.

13. Third-Party Services

The Service integrates with and links to third-party services including Google (authentication), Stripe (payments), and school athletic department websites. Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, functionality, or practices of any third-party service.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may revise these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. By continuing to use the Service after revised Terms become effective, you agree to be bound by them.

15. Termination

You may terminate your account at any time by deleting it from your account settings. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive, including Sections 7 (Intellectual Property), 8 (Limitation of Liability), 9 (Disclaimer of Warranties), 10 (Indemnification), and 11 (Dispute Resolution).

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of New Jersey.
